What this is

These terms apply between you and Theodor Staubach ("we", "us") for your use of the Padshout app. They cover both the free version and Padshout Premium.

When you buy Padshout Premium, that purchase contract is not with us — it is with Apple. See clause 6.

What Padshout is — and what it is not

Padshout is a call-out timer. It announces the names of strikes, kicks and movements in an order and at a pace you set yourself. A round timer runs alongside it, and the app counts what it has called.

Padshout calls. Padshout does not grade. That is not a slogan — it is the scope of what we owe you. Specifically, we do not provide:

You decide what you do

A call is a suggestion, not an instruction. Whether, when and how you carry it out is entirely your decision — made in the moment you hear it.

Combat sports are physically demanding, and striking and kicking can cause injury. That is true with an app and without one. So before you start a session, make sure of the following yourself:

If you are unsure whether combat sports are physically right for you, discuss it with a doctor. We cannot assess that.

Stop when it stops being right. The round timer keeps running regardless of how you feel; it knows nothing about you. Ignoring it is always a valid choice.

What is free and what is Premium

Free forever, no account, no time limit: Muay Thai in full, all six levels, unlimited rounds, one voice.

Padshout Premium adds: Boxing, kickboxing and MMA · all voices · the history · the full round card.

What is free stays free. We will not move the free scope behind the paywall later.

Padshout Premium — the three routes

5.1 Subscription. Premium is available as a weekly or yearly subscription. It runs until cancelled and renews automatically at the end of each period for the same period at the price shown. Price, term and renewal are stated on the purchase screen before you buy.

5.2 Free trial. The yearly plan starts with 3 days free. Unless you cancel at least 24 hours before the trial ends, it converts to the paid yearly subscription and Apple charges the full yearly price. The trial is available once per Apple Account; Apple, not we, determines eligibility.

5.3 One-time purchase ("Lifetime"). The one-time purchase is not a subscription. It has no term, does not renew and is not billed again.

It covers Padshout Premium as it stands from time to time. That means: any feature we later release as a Premium feature of this app is included for you at no further charge. We will not charge you a second time for Premium features of this app.

What we do not promise: that any particular feature will arrive, when it will arrive, or how large it will be. We keep developing Padshout, but we do not owe you a specific future feature set. If we one day release a separate product under a different App Store listing, it is not covered by the one-time purchase; in that case we will say clearly that it is a different product.

5.4 Limit for ongoing third-party costs. If a future Premium feature can only work in a way that incurs third-party costs on every use (for example computing time on external servers), we may apply a reasonable usage allowance to that one feature, shown to you in advance. Your one-time purchase loses nothing you already have and does not become chargeable. Features that run on your own device are not affected by this clause.

5.5 For as long as Padshout exists. The one-time purchase lasts as long as we offer Padshout. If we discontinue the app, we will announce it in the app at least three months in advance; you can keep using the version you last downloaded for as long as your device and Apple's operating system allow.

Purchases go through Apple — not through us

Apple handles all purchases in Padshout. For users outside the United States, Apple Distribution International Ltd. is the merchant of record, so you buy Premium from Apple, not from us. We never see payment details, card numbers or billing addresses, and we cannot accept, change or refund a payment.

What follows from that:

Right of withdrawal / cancellation

7.1 For free use of Padshout. You pay us nothing and you provide us with no personal data — the app runs without an account and your history stays on your device. No statutory right of withdrawal arises against us, because there is no distance contract for a paid service. You can end this agreement at any time, without giving reasons, by deleting the app from your device.

7.2 For purchases of Padshout Premium. Because the purchase contract is with Apple, any statutory right of withdrawal is directed at Apple. Apple's withdrawal notice, model withdrawal form and time limits are set out in the Apple Media Services Terms and Conditions for your country, linked from https://www.apple.com/legal/internet-services/itunes/.

We can neither grant nor remove that right, and we cannot refund a payment. If you send us a withdrawal notice, we will point you to the right place without delay and confirm that we received your message.

The voices

Padshout contains calls in several voices. Some are produced using speech synthesis (Amazon Polly); others come from a real recording of a voice actor. The app states the origin of each voice directly beneath its name.

The synthetic voices do not imitate any particular real person. They are finished audio files inside the app; the app does not generate new voices during training and sends nothing to us or to third parties in order to do so.

Your history

Your training history is stored on your device only. We have no access to it. If you delete the app it is gone, and we cannot restore it. We do not operate accounts, so there is no account to delete. See the privacy policy for details.

What you may not do

Padshout is for your own training. You may not extract, copy, distribute, publicly communicate or incorporate the app or its content — in particular the calls and the audio recordings — into any offering of your own, and you may not reverse-engineer the app except where the law expressly permits it.

For use in group training, classes or commercial instruction, please contact us first.

Liability

We are liable to you without limitation for damage arising from injury to life, body or health, and for damage caused intentionally or by gross negligence. The same applies where we have expressly guaranteed a characteristic, and under the German Product Liability Act.

For ordinary negligence we are liable only where we have breached a duty that makes proper use of Padshout possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the foreseeable damage typical for this kind of contract. There is no liability beyond that.

None of this changes clauses 2 and 3: we owe no instruction, no assessment, no recommendation and no supervision. Where we take on no duty, there can be no breach of duty.

Apple

These terms are concluded between you and us only, not with Apple. We, not Apple, are solely responsible for Padshout and its content. We alone are responsible for providing maintenance and support for Padshout; Apple has no obligation whatsoever to furnish maintenance and support services. In the event of any failure of Padshout to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to Padshout, and any other claims relating to Padshout are our sole responsibility. We, not Apple, are responsible for addressing any claims relating to Padshout, including product liability claims, claims that Padshout fails to conform to any applicable legal or regulatory requirement, and third-party claims that Padshout infringes intellectual property rights. Your licence to use Padshout is non-transferable and applies on Apple-branded products that you own or control. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms of agreement. Apple and Apple's subsidiaries are third-party beneficiaries of these terms and have the right to enforce them against you. Changes to these terms

We may change these terms where there is a valid reason — a change in the law, a changed Apple requirement, or a change to Padshout that makes an adjustment necessary. We will not change them in order to put you at a one-sided disadvantage; the main services and the price will not be changed this way.

We will announce a change in the app at least 30 days in advance. If you do not object before it takes effect, it is deemed accepted; we will remind you of this in the announcement. If you object, you can stop using Padshout — and, for a running subscription, cancel it with Apple.

Governing law, dispute resolution

German law applies. If you are habitually resident in another country, the mandatory consumer protection provisions of that country remain unaffected; these terms apply there only to the extent that they do not place you in a worse position.

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.

Additional paragraph for users in Brazil: The limitation of liability in clause 11, second paragraph, does not apply to you. The Código de Defesa do Consumidor applies, and the supplier liability it provides for remains in full.

Additional paragraph for users in the United States: Clause 11 applies to you to the extent permitted by law; where mandatory law of your state does not permit a limitation, that law prevails.
